Sérgio Zimerman holds the position of Chairman of the Board of Directors of Grupo Petz Cobasi. Founder of the Petz chain, he served as the company’s CEO from its creation in 2002 until 2025, leading it strategically until the consummation of the business combination with Cobasi. Idealizer of the brand originally named Pet Center Marginal, he identified the potential of a market that still lacked structured competitors at the time. Graduated in Administration from UNIP, with an MBA in Retail from FIA-USP and extension courses in Europe and the USA, he has been an entrepreneur since an early age in various sectors. In 2013, he led Petz’s partnership with the private equity fund Warburg Pincus, being responsible for the professionalization of management and the consolidation of the company’s leadership in the segment, a trajectory that culminated in the formation of the current Company.

João Urbano Nassar is a member of the Board of Directors of Grupo Petz Cobasi. Co-founder of the company in 1985, he actively participated in its evolution into one of the largest retail chains in the country. Graduated in Mechanical Engineering from Escola de Engenharia Mauá and with an extension in Administration from FGV, he has a solid career in management within the industrial and agricultural sectors. In Cobasi’s executive structure, he previously held the position of Director of New Business and Expansion, leading strategic growth fronts before exclusively assuming his current position on the board.

Paulo Urbano Nassar is the current Chief Executive Officer (CEO) of Grupo Petz Cobasi, assuming the executive leadership of the combined company resulting from the merger. Co-founder of Cobasi in 1985, he was the architect of the business’s evolution, which started from an agricultural products store to become the pioneer chain of the sector in the country. Graduated in Economics from FEA-USP, he holds an extension from the University of Berkeley (California) and a Business Masterclass from Harvard Business School. With 39 years of full dedication to the operation, he led strategic milestones such as the company’s digital transformation, completed in 2017. Currently, he accumulates the executive role of CEO with that of a member of the Company’s Board of Directors.

Ricardo Urbano Nassar is a member of the Board of Directors of Grupo Petz Cobasi. Co-founder of Cobasi, he has historically dedicated himself to the consolidation of the brand in pet retail and the idealization of service projects, such as the Pet Anjo franchise. Graduated in Business Administration with a specialization in Marketing from FAAP, he worked for 35 years in the company’s executive management, previously occupying the positions of Commercial and Marketing Director, where he was responsible for the commercial strategy and market positioning until his transition to the Board.

Cristiano Gioia Lauretti graduated in production engineering from Escola Politécnica da USP in 1995. He has served as Head and Partner of Private Equity at Kinea since September 2009. With over 20 years of experience in private equity, he was the executive director of AIG Capital Partners in Brazil and served on the Board of Directors of several companies. He serves on the Board of Directors of Panvel, Alvorada, Wiser, Cobasi, Blue Health, and Alvorada. He previously worked at Banco ABN AMRO and Itaú before working in Private Equity at AIG and Kinea.

Tania Zimerman is a member of the Board of Directors of Grupo Petz Cobasi. Graduated in Process Management and with an MBA in Retail Management from UBS-SP, she began her trajectory at Petz in 2002, playing a fundamental role in structuring the back office and defining processes that sustained the chain’s expansion. She led structural projects, such as the first systems migration and the implementation of management accounting. In the innovation and customer experience (CX) front, she was a precursor of the brand’s differentiating concepts, including the aesthetics center with full visibility (‘transparency’), the ‘Pet Safari’ environment, and the ‘Petz Play’ space. In addition to her corporate role, she directly managed franchise operations between 2013 and 2019.

Mr. Ely is a senior consultant at Warburg Pincus. Previously, Mr. Ely was president of Drogasil S.A., where he led the company’s IPO process in 2007 and participated in the merger process of Drogasil with Raia S.A., forming Raiadrogasil S.A., the largest pharmacy chain in Brazil. Mr. Ely was also CEO and held executive positions at Banco Geral do Comércio and was Managing Director at Camargo Correa Metais. Mr. Ely is currently a member of the Board of Directors of Petz and Panvel, and is a member of the Advisory Board of Eurofarma Laboratories. He holds a degree in Civil Engineering from the Federal University of Rio Grande do Sul.

Mr. Terra holds a degree in Business Administration from ESPM, with a postgraduate degree from FIA and a master’s degree in Business Administration from FEA/USP. He has specializations in retail from Manchester Business School, Youngstown State University, and Columbia University. Currently, he is a partner at BTR-Varese and HiPartners, as well as an advisor at XP Inc. and a member of the Board of Directors of Petz, Grupo Boticário, Savegnago Supermercados, Leo Madeiras, and Nissei. He also serves on advisory boards of companies such as RPE, Dotz, and Atacado Vila Nova. He was president of SBVC (2014–2024) and held leadership positions in companies such as Agrogalaxy, GOL, AmPm, Grupo Baumgart, Lopes Supermercados, and Extrafarma. Mr. Eduardo Terra does not hold positions in third sector organizations.

Germán Pasquale Quiroga Vilardo graduated in electronic engineering from the Military Institute of Engineering (IME) and holds a master’s degree in digital systems from Escola Politécnica da USP. He is the founder and former CEO of TV1.com (a position he held between 1994 and 1999), founder, CIO and CMO of Americanas.com (a position he held between 1999 to 2004), CIO and CMO of Cyrela Brasil Realty (a position he held between 2004 to 2008) and founder, CEO and member of the Board of Directors of Pontofrio.com (positions he held between 2008 to 2011), e-plataforma (positions he held between 2008 to 2011), e-hub (positions he held between 2008 to 2011), Nova Pontocom (positions he held between 2011 to 2014) and Cnova (positions he held between 2014 to 2016), having in the latter led the company’s IPO on NASDAQ. Currently, he holds the position of member of the Board of Directors of Centauro CODIG, Kalunga, Falabella CF, CCE, Fravega, GOL CF, Payly, Quality, G2D, and Cobasi.

Mr. Nassar is a co-founder of Cobasi, which began operations as an agricultural supply store on October 14, 1985, and evolved into a major network of 243 megastores dedicated to pet care, pioneering this sector in Brazil. He holds a degree in Economics from the School of Economics, Business and Accounting at the University of São Paulo (FEA-USP), with extension programs at the University of California, Berkeley, and a Business Masterclass at Harvard Business School. With 40 years of dedication to the Company’s operations, he was responsible for Cobasi’s digital transformation, completed in 2017. In addition to his role as CEO, Mr. Nassar is also a member of the Company’s Board of Directors.

Rafael Siqueira Rodrigues holds a degree in Production Engineering from the Polytechnic School of the University of São Paulo (USP – 2010) and an MBA in Finance from Fundação Getúlio Vargas (FGV). With over 10 years of experience in executive leadership roles within the retail sector, he has held strategic positions at major companies such as Via Varejo, Nova Pontocom, and Pernambucanas. He joined Cobasi in 2018 as Chief Financial Officer and currently serves as the Chief Financial and Investor Relations Officer (CFO & IRO) of Grupo Petz Cobasi.

Oderi Gerin Leite holds a degree in Business Administration from the School of Economics, Business and Accounting of the University of São Paulo (FEA-USP), with over 25 years of experience leading digital initiatives in retail operations. He has solid expertise in e-commerce, omnichannel strategy, and digital transformation, with previous tenures at Magazine Luiza and Grupo Pão de Açúcar. At Grupo Petz Cobasi, he serves as Director of Integration, following an 8-year tenure as Superintendent Director of Digital and Omnichannel at Cobasi, where he led the evolution of channels and customer journey integration initiatives.

Marcelo Maia holds a degree in Electrical Engineering from the State University of Campinas (UNICAMP), an Executive MBA from INSPER, and a specialization in Supply Chain and Logistics from the Massachusetts Institute of Technology (MIT). With over 15 years of experience in the retail sector, he built a solid career leading Logistics, Supply Chain, and Digital areas, including a strategic tenure in Supply Chain management at Carrefour Brazil. He joined Petz in 2013, where he structured the Supply Chain and E-Commerce operations, assuming the Vice Presidency of Digital, IT, and Supply Chain in 2022. He currently serves as the Chief Technology and Digital Officer (CTO) of Grupo Petz Cobasi.

Rodrigo Fernandes Cruz holds a degree in Business Administration from the Pontifical Catholic University of Minas Gerais (PUC-MG) and an MBA in Business Management from Fundação Getúlio Vargas (FGV). With a trajectory of over 20 years in the retail sector, he consolidated his expertise in Operations and Physical Channel Expansion. Prior to joining the Company, he built his career at Cia. Hering holding strategic positions, including General Manager of Company-Owned Stores. He began his tenure at Petz in 2015 as Director of Operations and Expansion, rising to the position of Vice President of Operations, Expansion, and Engineering in 2022. He currently serves as the Chief Retail Officer (CRO) of Grupo Petz Cobasi.
